Terms of Service
1. Agreement to Terms
By accessing or using the Lalexi platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
The Service is provided by NOCODE LTD ("Company," "we," "our," or "us"), trading as Lalexi. Lalexi is a business communication management platform that enables unified control of WhatsApp and Telegram messaging for business purposes.
By using our Service — including by connecting WhatsApp, Telegram, or other messaging accounts — you explicitly acknowledge and accept:
- Connections may use unofficial APIs, reverse-engineered methods, or other non-endorsed third-party connection methods
- Connecting an account constitutes your acceptance of those methods and of the risks in Section 10
- Your messaging platform accounts may be suspended, restricted, or permanently terminated
- Our Service carries inherent technical and legal risks
- You alone are responsible for how you use the Service
- You use our Service entirely at your own risk
2. Definitions
- "Account" means your Lalexi business account
- "Connected Accounts" means WhatsApp and Telegram accounts linked to your Lalexi dashboard
- "Customer Data" means all data, content, and information processed through the Service
- "End Users" means individuals who communicate with your business through Connected Accounts
- "User" or "you" means the person or entity using the Service
3. Eligibility and Account Registration
3.1 Age and Authority
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization.
3.2 Account Information
You agree to:
- Provide accurate, complete, and current information
- Maintain and update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use
3.3 Business Purpose
The Service is intended exclusively for legitimate business communications. Personal or non-business use is prohibited.
4. Service Description
4.1 Platform Features
Lalexi provides:
- Unified dashboard for multiple WhatsApp and Telegram accounts
- Real-time conversation monitoring and management
- Bulk messaging campaign capabilities
- Complete conversation history preservation
- Team oversight and collaboration tools
- Analytics and reporting features
4.2 Connected Account Integration
By default, you connect WhatsApp and Telegram accounts that you (or your personnel) own and control. We do not take ownership of Connected Accounts.
By connecting an account, you represent that you have authority to link it and that you accept the unofficial-API and platform risks disclosed in Section 10, including possible suspension or permanent loss of that account. You also acknowledge that:
- We do not control these third-party platforms
- Their terms of service and privacy policies also apply
- Platform changes may affect Service functionality
- Account suspensions by these platforms may impact our Service
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Service to:
- Manage legitimate business communications
- Monitor team messaging activities
- Send marketing or outreach messages only where you have a lawful basis (including consent where required) — we do not certify that your recipients have consented
- Preserve customer conversation histories
- Coordinate team responses and oversight
5.2 Prohibited Uses
You may NOT use the Service to:
- Send spam, unsolicited messages, or bulk messages to non-consenting recipients
- Transmit illegal, harmful, threatening, abusive, or defamatory content
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Impersonate others or misrepresent your identity
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Use the Service for competitive intelligence gathering
- Use the Service in a manner that violates applicable law or, except as disclosed in Section 10, third-party platform terms
5.3 Compliance Responsibility
You alone are responsible for all use of the Service. Without limitation, you alone are responsible for:
- All Connected Accounts you link and all consequences of connecting them
- All outbound messaging, including spam, unsolicited messages, and cold or first-touch outreach
- Consent, opt-outs, and suppression of End Users where required
- Compliance with TCPA, CAN-SPAM, GDPR, ePrivacy, state and local messaging laws, and other applicable regulations
- Compliance with WhatsApp, Telegram, and other platform terms (subject to the acknowledgments in Section 10)
- Industry-specific regulations and the lawfulness of your content and communications
You represent that you have a lawful basis — including consent where required — before messaging End Users, and that you will honor opt-outs and suppression requests where applicable. We do not review your use or campaigns for legality and are not liable for bans, recipient complaints, blocks, carrier actions, or fines arising from your use.
5.4 User-Generated Content
WE ARE NOT RESPONSIBLE FOR ANY CONTENT added, imported, created, sent, or received by users through our Service. Users retain sole responsibility for:
- All messages, media, and communications sent through connected accounts
- Content accuracy, legality, and appropriateness
- Compliance with recipient consent and anti-spam regulations
- Any consequences arising from their communications, content, or use of the Service
You indemnify us against all claims related to your content, communications, and use of the Service.
6. Data and Privacy
6.1 Customer Data
You retain all rights to your Customer Data. You grant us a limited license to process Customer Data solely to provide the Service as described in our Privacy Policy.
For End User personal data processed through the Service, you are the data controller (or equivalent) and we act as your processor. A Data Processing Agreement is available on request at [email protected].
6.2 Data Security
We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You acknowledge the inherent risks of internet-based services.
6.3 Data Backup and Recovery
While we maintain regular backups, you are responsible for maintaining your own backup copies of important data.
6.4 Third-Party Platforms
Customer Data may be subject to the privacy policies and terms of WhatsApp, Telegram, and other connected platforms.
7. Subscription and Billing
7.1 Subscription Plans
Service is provided on a subscription basis with various plan tiers. Current pricing is as stated on our website, order form, or sales materials, or as otherwise communicated to you.
7.2 Payment Terms
- Subscriptions are billed in advance
- Payments are due on the billing date
- All fees are non-refundable except as required by law
- Prices may change with 30 days' notice
7.3 Access Accounts
Access may be offered at our discretion. Before any Access converts to a paid subscription, we will communicate the timing, applicable fees, and how to cancel before you are charged. Conversion occurs only after that notice, unless you cancel by the stated deadline.
7.4 Suspension for Non-Payment
We may suspend your access if payments are overdue. Account reactivation requires payment of all outstanding amounts.
8. Intellectual Property Rights
8.1 Our Rights
NOCODE LTD / Lalexi retains all rights to:
- The Service platform and software
- Trademarks, logos, and brand elements
- Proprietary technologies and methodologies
- Documentation and support materials
8.2 Your Rights
You retain all rights to your Customer Data and business communications, subject to the limited license granted to us for Service provision.
8.3 Feedback
Any feedback, suggestions, or improvements you provide may be used by us without compensation or attribution.
9. Service Availability and Support
9.1 Uptime and Service Level
WE DO NOT GUARANTEE ANY SPECIFIC SERVICE LEVEL AGREEMENT (SLA). We operate on a best-effort basis and are bound by an obligation of means rather than results. While we strive to maintain high Service availability:
- We do not guarantee uninterrupted access
- Technical difficulties, maintenance, testing, or updates may cause temporary interruptions
- Third-party platform changes may impact functionality or availability
- We will endeavor to restore service as quickly as possible within our operational capacity
No refunds or compensation will be provided for service interruptions or feature limitations resulting from third-party provider decisions or technical issues beyond our control.
9.2 Support
Support is provided based on your subscription level:
- Small Plan: Email support during business hours
- Pro Plan: Priority email support and phone support
- Enterprise Plan: Dedicated support manager and priority response
9.3 Service Modifications
We may modify, suspend, or discontinue features with reasonable notice. We will attempt to minimize disruption to your business operations.
10. Third-Party Integrations
10.1 Unofficial API Usage and Risks
CRITICAL WARNING: By connecting accounts or using the Service, you expressly acknowledge that our Service may use unofficial APIs, reverse-engineered methods, or third-party libraries to connect with messaging platforms, and you assume all related risk. YOU ACKNOWLEDGE AND ACCEPT:
- Account Suspension Risk: Using our Service may violate WhatsApp, Telegram, or other platform terms of service
- No Official Endorsement: These platforms do not endorse or approve our connection methods
- Technical Blocking: Platforms may implement measures to block our Service at any time
- Data Access Limitations: Unofficial methods may have limited or unreliable data access
- Legal Compliance: You are responsible for compliance with all platform terms of service
- Service Interruption: Our Service may cease functioning without notice due to platform changes
BY USING OUR SERVICE, YOU EXPLICITLY ASSUME ALL RISKS ASSOCIATED WITH UNOFFICIAL API USAGE.
10.2 Platform Policy Changes
Messaging platforms may:
- Modify their APIs or technical infrastructure without notice
- Implement anti-automation measures that affect our Service
- Change terms of service that impact unofficial integrations
- Suspend or terminate accounts using third-party tools
- Pursue legal action against unofficial API usage
We cannot guarantee adaptation to all platform changes and are not liable for resulting service disruptions.
10.3 User Responsibility for Platform Compliance
You acknowledge that:
- You are solely responsible for compliance with all connected platform terms
- Account suspensions or terminations are beyond our control
- We provide no guarantees regarding platform policy compliance, deliverability, account safety percentages, or the absence of bans
- You may lose access to your messaging accounts permanently
10.4 No Platform Endorsement
Integration with third-party platforms does not constitute endorsement by those platforms. Our Service operates independently and without official authorization.
11. Disclaimers and Warranties
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Guarantee of Results
We do not guarantee that the Service will meet your specific requirements, that your use will be uninterrupted or error-free, or that Connected Accounts will remain free from bans, restrictions, or deliverability issues.
11.3 Third-Party Platforms
We disclaim all responsibility for third-party platform availability, functionality, or policy changes.
11.4 Data Accuracy and Customer Responsibilities
Our Service provides data through integrations with third-party messaging platforms. However, these platforms may modify their systems or introduce technical changes without prior notice. As a result, data provided through our Service may occasionally be incomplete, outdated, or inaccurate due to:
- Platform provider updates or changes
- Temporary technical errors or bugs
- Network connectivity issues
- Unofficial API limitations
WE CANNOT BE HELD LIABLE FOR ANY DIRECT OR INDIRECT CONSEQUENCES ARISING FROM DATA DISCREPANCIES. It is your sole responsibility to:
- Validate data consistency and accuracy before processing
- Implement fail-safes to avoid automated actions based on potentially erroneous data
- Handle errors gracefully without relying on single data points for critical workflows
- Implement appropriate verification mechanisms to prevent unintended actions
By using our Service, you acknowledge these risks and agree to implement appropriate safeguards on your systems.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Excluded Damages
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Lost profits or business opportunities
- Data loss or corruption
- Business interruption or downtime
- Account suspensions or terminations by third-party platforms
- Loss of messaging account access
- Spam, unsolicited messaging, or cold-outreach claims arising from your use
- Regulatory fines or penalties arising from your messaging or use of the Service
- Reputational damage
- Third-party claims or lawsuits
12.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR TOTAL LIABILITY SHALL NOT EXCEED €100 OR THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, WHICHEVER IS GREATER
- We exclude all liability for platform-related risks and unofficial API consequences
- You assume all risks associated with using the Service
12.3 Platform-Related Exclusions
WE SPECIFICALLY EXCLUDE LIABILITY FOR:
- Actions taken by WhatsApp, Telegram, or other messaging platforms
- Account suspensions, terminations, or restrictions imposed by platforms
- Platform policy changes affecting our Service
- Technical blocking or countermeasures by platforms
- Data loss due to platform actions beyond our control
- Spam, unsolicited messages, or regulatory actions arising from your campaigns or Connected Accounts
12.4 Essential Purpose
These limitations apply even if our limited remedies fail their essential purpose and reflect the inherent risks of unofficial API usage and third-party messaging platforms.
12.5 Non-Excludable Liability
Nothing in these Terms limits or excludes liability for fraud, willful misconduct, or gross negligence, or any liability that cannot be limited or excluded under the laws of Cyprus.
13. Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your content, campaigns, Connected Accounts, messaging practices, or your breach of these Terms — and not from our mere provision of the Service as designed — including:
- Your use of the Service in breach of these Terms or applicable law
- Violation of third-party rights by your content or communications
- Your Customer Data or business communications
- Spam, unsolicited messaging, cold outreach, or TCPA, CAN-SPAM, GDPR, ePrivacy, or similar claims arising from your messaging
- Platform actions against your accounts (suspensions, terminations, restrictions)
- Carrier, platform, or recipient complaints arising from your campaigns
- Third-party claims related to your connection or use of Connected Accounts, including unofficial or non-endorsed methods you accept under Section 10
- Regulatory actions arising from your messaging practices or your use of Connected Accounts
14. Termination
14.1 Termination by You
You may cancel your subscription at any time through your account dashboard or by contacting support.
14.2 Termination by Us
We may suspend or terminate your account or access to the Service at any time, for any reason or for no reason, with or without prior notice. Without limiting that right, we may act where we believe there has been, for example:
- Violation of these Terms
- Non-payment of fees
- Illegal or harmful activities
- Extended inactivity
- Risk to the Service, other users, or third-party platforms
14.3 Effect of Termination
Upon termination:
- Your access to the Service will cease
- We may delete your account data after a reasonable retention period
- You remain liable for all charges incurred
- Sections that should survive termination will continue to apply
15. Export Control and Legal Compliance
15.1 Export Laws
You agree to comply with all applicable export control and sanctions laws.
15.2 Prohibited Jurisdictions
The Service may not be available in all jurisdictions. You are responsible for compliance with local laws.
16. Force Majeure and Platform Dependencies
16.1 Force Majeure Events
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
- Natural disasters and government actions
- Network failures or internet outages
- Third-party platform policy changes or technical modifications
- Platform blocking of unofficial API access
- Regulatory actions against unofficial integrations
- Cyber attacks or security incidents affecting platforms
16.2 Platform-Specific Force Majeure
Specifically regarding messaging platforms:
- WhatsApp, Telegram, or other platforms blocking our access methods
- Changes to platform APIs or authentication systems
- Legal actions by platforms against unofficial usage
- Technical countermeasures implemented by platforms
- Platform service outages or maintenance
16.3 Operational Limitations
You acknowledge that:
- Our technical capabilities are continuously evolving
- Response times may vary based on available resources
- Some issues may require extended resolution periods
- We provide services on a "best efforts" basis within our current capacity
17. Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of Cyprus, without regard to conflict of law principles.
17.2 Jurisdiction
The courts of Cyprus have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
17.3 EU Users
EU users may file complaints with their local data protection authority and have the right to judicial remedies.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NOCODE LTD (trading as Lalexi). Our Privacy Policy contains important information about data handling, while these Terms contain service limitations and risk disclosures.
18.2 Modifications
We may update these Terms by posting revised versions on our website and, where practicable, by email or in-product notice to the address associated with your account. Changes take effect on the stated effective date. Continued use after that date constitutes acceptance. Material adverse fee changes remain subject to the notice period in Section 7.2.
18.3 Severability
If any provision is found unenforceable, the remaining provisions will continue in full force.
18.4 Waiver
Failure to enforce any right does not constitute a waiver of that right.
18.5 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a business transfer.
